FADAS has a robust and transparent structure built around industry best practice. In order to execute the investment mandate entrusted to us by investors in total confidence, we have developed the following governance structure: Investment Committee Responsible for all investment-related decisions including new investments, divestments, add-on acquisitions, portfolio company financing and refinancing, as well as the overall monitoring of the funds’ investments. It is chaired by FADAS’s Chief Investment Officer and is composed of five permanent members with an average of 20 years at FADAS as well as five rotating ones (two by two), giving a total number of seven Investment Committee members at any given time. Supervisory Board Composed of five senior professionals from outside the firm, who supervise the medium and long term strategy established by the Executive Committee, and ensure the proper execution of management and advisory mandates entrusted to the management company by investors. The board is a non-executive body that also guarantees compliance with all fund and management company by-laws. We used to have formal quarterly meetings where the teams discuss the performance and development, valuation, exit strategy and outturn expectations for each investment. This ensures objectivity in achieving milestones and deal team accountability.
